Effective Date: Upon Subscription to Create Music AI

1. Parties to the Agreement

This Agreement is made between:

Licensor: Create Music AI ("Platform")
Licensee: The user who has purchased a subscription or generated music through Create Music AI ("User").

2. Definitions & License Grant

Generated Music: Any music created by the User using Create Music AI's platform.
Commercial Use: Includes, but is not limited to, sales, licensing, distribution, performance, and any use that generates economic benefit.

The Platform grants the User a non-exclusive, perpetual, and worldwide license to use, modify, distribute, and sell the Generated Music. This includes the rights to:

Use, copy, store, modify, and distribute the Generated Music through any media.
Create derivative works, publicly perform, display, and broadcast the music.
Sublicense the Generated Music to third parties.

This license applies indefinitely for all Generated Music created during the User's subscription period.

3. User Responsibilities & Prohibited Uses

The User agrees to:

Comply with the terms of this Agreement and all applicable laws.
Not use the Generated Music for illegal purposes, including violating intellectual property rights or distributing music in violation of third-party rights.

4. Platform Warranties & Limitations

The Platform warrants:

It has the rights to provide the services under this Agreement.
The Generated Music does not infringe third-party rights.
The Platform has the right to grant commercial usage of the Generated Music.

However, the Platform does not warrant the quality or fitness of the Generated Music for any specific purpose.

5. Liability & Indemnity

Liability: Create Music AI is not liable for any damages or losses resulting from the use of the Generated Music. The User assumes full responsibility for the use of the Generated Music.
Indemnity: The User agrees to indemnify Create Music AI against any claims or damages arising from their use of the Generated Music.

Create Music AI may terminate this Agreement if the User breaches any terms. Upon termination, the User must cease using the Generated Music in new projects but may continue to use it in previously created works.

7. Modifications

Create Music AI reserves the right to update or modify this Agreement at any time. The User will be notified of changes, and continued use will imply acceptance of the modified terms.
